SML Mahindra hits new high
SML Mahindra is the top gainer on the BSE currently, rising 17% to Rs. 5,338.60. The stock gained Rs. 773.10 from its previous close of Rs. 4,565.50, opened sharply higher at Rs. 5,100 and touched a fresh 52-week high of Rs. 5,348, as investors reacted to the company’s acquisition of Mahindra & Mahindra’s truck and bus division. Market depth showed buy quantity of 5,454 against sell quantity of 3,998, indicating stronger buying interest on the counter.
Trigger
- SML Mahindra’s board approved the acquisition of Mahindra & Mahindra’s (M&M) truck and bus division.
- The acquisition will be done on a slump-sale basis as a going concern.
- The transaction value is Rs. 525 crore in cash, subject to working capital adjustments.
- The business being acquired sold 14,832 vehicles in FY26.
- The acquired business reported turnover of Rs. 2,989 crore in FY26.
- M&M is the promoter and holding company of SML Mahindra, with 58.97% stake.
- The transaction is a related-party transaction but has been stated to be on an arm’s-length basis.
- The acquisition is subject to SML shareholders’ approval.
- The transaction is proposed to be completed on or before January 31, 2027, or such later date as mutually agreed.
- M&M will continue manufacturing MTBD products under a contract manufacturing arrangement.
- The deal is aimed at creating a unified truck and bus business within the Mahindra group.
The acquisition gives SML Mahindra a much larger role within the Mahindra commercial vehicle ecosystem. SML has historically had a strong presence in the intermediate and light commercial vehicle bus segment, while Mahindra Truck and Bus brings a wider portfolio across light, intermediate and heavy commercial trucks and buses. By combining these businesses, the group is trying to create a more complete commercial vehicle platform.
The direct benefit for SML is scale. The acquired division had FY26 turnover of Rs. 2,989 crore and sold 14,832 vehicles, which can meaningfully expand SML’s operating base once the deal is completed. Higher scale can improve vendor negotiations, distribution efficiency, brand visibility, product reach and operating leverage.
The market is also reading the transaction as a strategic simplification within the Mahindra group. Instead of having the truck and bus business split between M&M’s auto division and SML Mahindra, the acquisition creates a unified structure
For now, the rally looks like a deal-led re-rating. The market is betting that SML Mahindra will become a larger, broader and more strategically important commercial vehicle company within the Mahindra group.
